Terms & Conditions

These general terms and conditions („Terms") govern the relationship between Spotlight s. r. o. („Provider") and clients („Client") for web design, development and branding services.
1. Parties
Provider: Spotlight s. r. o., registered office Bratislava, Slovak Republic, Company ID 00 000 000, registered with the Bratislava District Court.
Client: A natural or legal person ordering services from the Provider.
2. Subject of contract
- Design and development of websites and e-shops
- UX/UI design
- Branding and logo design
- Copywriting and content
- SEO optimization
- Maintenance and management
3. Formation of contract
- Written acceptance of a quote (e-mail or signature),
- Signed service agreement, or
- Payment of an advance invoice — payment of the deposit constitutes acceptance of the quote.
4. Pricing and payment
- Prices are stated excluding VAT unless explicitly noted otherwise. The Provider is a VAT payer.
- Standard split: 50% deposit on order, 50% on delivery.
- Projects above €5,000 may use a three-stage split (40 / 40 / 20).
- Invoice due date is 14 days unless agreed otherwise.
- Late payment incurs interest of 0.05% of the outstanding amount per day; the Provider may suspend work.
5. Timeline and delivery
Delivery dates are indicative and start running once the deposit is paid, materials delivered and brief approved. Client delays extend the timeline accordingly.
6. Client cooperation
- Provide materials (text, images, access) on time.
- Respond to feedback requests within 5 business days.
- Warrant that all materials provided are usable and do not infringe third-party rights.
7. Revisions and changes
The price includes 2 rounds of revisions unless agreed otherwise. Additional revisions or scope expansion are billed at €49 / hour excluding VAT or via a quote addendum.
8. Delivery and acceptance
The work is delivered when the Provider makes the functional result available (production deployment, source files). The Client has 10 days to raise objections; otherwise the work is deemed accepted.
9. Copyright
- Upon full payment, economic copyright transfers to the Client to the extent needed to use the work.
- The Provider retains the right to feature the work in its portfolio (web, social, awards).
- Third-party assets (fonts, photos, libraries) are subject to their own licenses and disclosed to the Client.
10. Warranty and support
- 30-day free warranty for functional defects (bugs).
- After this, monthly maintenance is available (from €99/mo) or hourly billing.
- The warranty does not cover defects caused by the Client or third parties.
11. Cancellation
- The Client may cancel at any time in writing. Work performed to date is billed pro rata.
- Deposits are non-refundable once work has begun.
- The Provider may withdraw on serious breach (non-payment, lack of cooperation).
12. Liability
Provider liability is capped at the contract price. The Provider is not liable for indirect damages (lost profit, data loss, business interruption).
13. Personal data
Personal data processing is governed by our Privacy Policy.
14. Disputes
Disputes are resolved by agreement; otherwise by Slovak courts. Consumers may use the Slovak Trade Inspection or the EU ODR platform.
15. Final provisions
These Terms become effective on publication. The Provider may amend them; existing contracts retain their original terms. Matters not covered are governed by the Slovak Commercial Code.
